IIRC the SP6 upgrade, for the filesystem part at least, changes NTFS.SYS so that it can read/write NTFS4 and NTFS5. It doesn't actually convert the filesystem to NTFS5. The reason you would want to do that is if you install W2K on another drive or partition you might want your NT4 dual-boot setup to be able to read & write the W2K filesystems which would be NTFS5.
