vmware's "vmware converter" formerly known as "p2v assistant" does a pretty fine job of converting machines from phys to virt or virt to virt. Be careful not to change things more than you need to, eg: RAM. Too much change will tip the system off that it's been cloned, and you'll have to reactivate Windows and MS apps.
